Terms of Service & Client Agreement
Last updated: October 2026 · Standard terms governing our professional digital and technology engagements.
1. Agreement to Terms
By accessing, browsing, or utilizing the website of Arvis Digital (https://arvisdigital.in) or by commissioning our digital marketing, software development, search optimization, or AI automation services, you enter into a legally binding agreement governed by these terms of service. If you are entering into these Arvis Digital terms and conditions on behalf of a corporation, LLC, partnership, or other legal entity, you represent and warrant that you possess full corporate authority to bind such entity to these provisions.
2. Scope of Professional Services
Under these digital marketing service terms and our web development contract terms, Arvis Digital provides specialized technological and marketing capabilities, including but not limited to:
- Search Engine Optimization (SEO), Answer Engine Optimization (AEO), and Generative Engine Optimization (GEO).
- Paid advertising campaign architecture and management across Google Ads, Meta Ads, and LinkedIn Ads.
- Custom full-stack web and mobile application engineering (React, Next.js, Flutter, Node.js, and cloud backends).
- Dedicated developer staffing and IT staff augmentation models.
- Artificial Intelligence solutions, including RAG architecture, vector databases, and custom automation workflows.
Specific milestones, deliverables, timelines, and technical requirements for each project shall be detailed in mutually agreed Statements of Work (SOW) or service order forms executed between the parties.
3. Intellectual Property Rights & Asset Ownership
We believe in complete ownership clarity. Upon full and final settlement of all invoiced fees related to a custom software build or creative campaign, 100% of the custom source code, design assets, database structures, and deliverable content created exclusively for you shall become your sole intellectual property. Arvis Digital retains ownership only of its pre-existing libraries, proprietary workflow frameworks, generic utilities, and open-source components that are integrated under standard open licenses.
4. Client Obligations & Approvals
Successful campaign execution and software delivery require collaborative communication. The client agrees to:
- Provide timely feedback, copy approvals, and technical credentials (such as domain DNS, CMS access, or ad account permissions) essential for project progression.
- Ensure all logos, copy, images, and data supplied to Arvis Digital do not infringe upon any third-party copyrights, trademarks, or privacy rights.
- Designate a primary point of contact authorized to make binding project decisions and approve milestone deliveries.
5. Invoicing, Payments, & Retainer Cycles
Payment structures vary depending on the chosen engagement model:
- Fixed-Price Projects: Billed across predetermined project milestones (e.g., discovery deposit, design sign-off, staging review, and final production deployment).
- Dedicated Staffing / Retainers: Monthly retainers are invoiced in advance of each 30-day service cycle. Payment is due within the timeframe specified in your invoice.
- Advertising Spend: Client media budgets for platforms such as Google Ads or Meta Ads are funded directly by the client to the advertising network. Arvis Digital does not markup ad spend unless expressly defined under a managed billing agreement.
6. Warranties, Limitation of Liability, & Search Engine Disclaimers
Arvis Digital warrants that all services will be executed in a professional, workmanlike manner adhering to modern software engineering and ethical digital marketing best practices. However, because search engine ranking algorithms (such as Google and Bing) and third-party advertising platforms operate independently and continuously evolve, no ethical digital agency can guarantee specific #1 organic rankings or guaranteed sales volumes.
To the maximum extent permitted by applicable law under digital agency terms India, Arvis Digital shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from lost profits, service downtime, or algorithm updates by third-party search engines.
7. Confidentiality & Mutual Non-Disclosure
Both parties agree to treat all commercial, financial, and technical information shared during the engagement as strictly confidential. Neither party will disclose proprietary trade secrets or customer data without prior written authorization, except as required by law.
8. Governing Law & Jurisdiction
These Terms of Service and any dispute arising out of or related to our engagements shall be governed by and construed in accordance with the laws of Tamil Nadu, India. Any legal action or proceeding shall be brought exclusively in the competent courts located in Chennai, Tamil Nadu.
